Everytime I try to shutdown windows I get a message that says Parallels Tools Center was not shut down properly, then windows stalls and won't shut down unless I force quit. I've disabled USB devices and reinstalled parallels and parallels tools three times and this still occurs. I've monitored my task manager to ensure no application is running before I try to shut down as well. I've also searched this forum extensively and still have not found a clear answer to this problem. Please help.

I'm running Windows XP Pro w/ SP 2 and Parallels 3.0 Build 5160 on a MBP 2.4 w/ no bootcamp.

May be something on Windows side
Do you have DEP enabled http://support.microsoft.com/kb/875352 ?
Software running on Windows side may affect Parallels Tools.
Check Application and System log, what is causing this.

I had the same issue, when I disabled the floppy it now shuts down fine. (Shutdown Windows, wait, stop the Virtual Machine, Virtual Machine/Configure/Floppy Disk/ uncheck Enabled).
