System Failure during Sql Server upgrade

    While trying to upgrade Sql Server 2005 to SP3 while within a virtual server I get the following error message and the virtual system reboots. (needed for an application I support through which I'm trying to use Parallels to maintain a separate environment.

    "Stop: c000021a {Fatal System Error}
    The Windows subsystem system process terminated unexpectedly with a status of Oxc0000005 (0x7c0106c3 0x0069ed04).
    The system has been shut down."

    I've assigned over a gig of memory to this system, the same file works well on the host, I've copied the upgrade file into the virtual server so I'm not accessing it via a share.
    The Host system is WinXP Professional, the Virtual System is also WinXP Professional.
    Total memory available on the host 2.86 gig. (4 gig on the laptop) ...
    Is a brand new HP laptop.
