Here's the solution: First, backup your Windows virtual machine, then upgrade your Mac to Sierra, and then purchase a Parallels 12 upgrade license. If you purchase an upgrade key and activate it using an older version license, you're essentially upgrading your old license to the new one - these two licenses are, in principle, one single license. Since our licensing policy prohibits using a single license on multiple machines, using an old license (which is already used for an upgrade) on a different machine is a policy violation. So the answer to your question is 'No'.
